Important: Please read these Terms and Conditions carefully before using NextgenAssist services. By accessing or using our services, you agree to be bound by these terms. If you disagree with any part, please do not use our services.

1. Acceptance of Terms

By accessing and using the NextgenAssist platform and services ("Services"), you accept and agree to be bound by these Terms and Conditions ("Terms"). These Terms apply to all users, visitors, and others who access or use the Services. If you are using our Services on behalf of an organization, you agree to these Terms on behalf of that organization.

2. Use of Services

You agree to use our Services only for lawful purposes and in a manner that does not infringe the rights of others. You specifically agree not to:

  • Use the Services to transmit any unlawful, threatening, abusive, or defamatory content
  • Attempt to gain unauthorized access to any part of the platform or related systems
  • Use automated tools, bots, or scrapers on our platform without written permission
  • Share your account credentials with any third party
  • Use the Services to compete with NextgenAssist or reverse-engineer our platform
  • Violate any applicable local, national, or international law or regulation

3. Payment Terms

By subscribing to our Services, you agree to the following payment terms:

  • Fees are billed in advance on a monthly or annual basis as selected during signup
  • All payments are non-refundable except as specified in our Refund Policy
  • We reserve the right to modify pricing with 30 days advance notice
  • Failure to make timely payment may result in suspension or termination of your account
  • All prices are inclusive of applicable taxes unless stated otherwise

4. Intellectual Property

The NextgenAssist platform, including all content, features, functionality, software, logos, and trademarks, is owned by NextgenAssist and is protected by Indian and international intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from our platform without explicit written permission.

You retain ownership of any content you upload or create using our platform. By uploading content, you grant NextgenAssist a limited license to use, display, and process that content solely to provide our Services to you.

5. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the business relationship. This includes but is not limited to business strategies, financial information, client data, and technical specifications. This confidentiality obligation survives termination of the agreement.

6. Limitation of Liability

To the maximum extent permitted by law, NextgenAssist shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use our Services. Our total liability for any claim arising out of these Terms shall not exceed the amount paid by you for the Services in the preceding 3 months.

7. Termination

We reserve the right to terminate or suspend your account and access to Services at our sole discretion, without notice, for conduct that we believe:

  • Violates these Terms and Conditions
  • Is harmful to other users, third parties, or us
  • Involves fraudulent, illegal, or deceptive activities
  • Results in non-payment of fees owed

Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

8. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Mumbai, Maharashtra, under the Arbitration and Conciliation Act, 1996.

9. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the date at the top of this page and, where appropriate, by sending you an email notification. Your continued use of our Services following the posting of revised Terms constitutes your acceptance of those changes.
